1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Agreement" means these Terms and Conditions together with any project proposal or engagement agreement entered into between nagacortexes and a Client.
• "Service" means AI integration consulting services provided by nagacortexes, including Data Infrastructure Consulting, AI-Powered Customer Experience Design, and Enterprise AI Governance Framework engagements.
• "We / Us / Our" refers to nagacortexes, operating from 99/12 Rama IX Road, Huai Khwang, Bangkok 10310, Thailand.
• "User / Client / You" refers to any individual or legal entity that accesses our website or engages our services.
• "Deliverables" means documents, frameworks, scorecards, handbooks, and other outputs provided at the conclusion of an engagement.

2. Acceptance of Terms

By accessing our website or entering into a consulting engagement with nagacortexes, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a legal entity, you represent that you have the authority to bind that entity.

Our services are intended for individuals and organizations aged 18 and over and with legal capacity to enter into contracts under applicable law.

3. Service Description

nagacortexes provides structured AI integration consulting services in Thailand. Our services are delivered within defined project timelines and include written deliverables as described in the relevant engagement proposal.

Services are available to organizations based in Thailand and to international organizations with operations in Thailand. We do not guarantee availability in all geographic regions.

4. Engagement Terms

Each consulting engagement is governed by a project proposal agreed in writing between nagacortexes and the Client. The proposal will specify the scope of work, timeline, deliverables, fees, and payment schedule. In the event of any conflict between the project proposal and these Terms, the project proposal shall take precedence for that specific engagement.

Any changes to the agreed scope must be requested in writing and are subject to a revised proposal and fee agreement.

5. Payment Terms

Fees for services are quoted in Thai Baht (฿) and are set out in the engagement proposal. Unless otherwise agreed:

• A deposit of 50% of the total engagement fee is required before work begins
• The remaining balance is due within 30 days of delivery of final Deliverables
• Payments are accepted by bank transfer to the account details provided in the invoice
• Late payments may attract interest at the rate permitted under Thai commercial law

All fees are exclusive of VAT where applicable.

6. Refund Policy

The deposit paid to commence an engagement is non-refundable once work has begun. If a Client wishes to discontinue an engagement before completion, fees for work completed up to the date of termination will be retained. Any unused portion of fees paid in advance (excluding the deposit) will be returned within 30 days.

7. Intellectual Property

All Deliverables produced by nagacortexes during an engagement become the property of the Client upon receipt of full payment. nagacortexes retains the right to use methodologies, frameworks, and general approaches developed during engagements for future work, provided that no Client-specific confidential information is disclosed.

All content on this website, including text, design, and structure, remains the property of nagacortexes and may not be reproduced without written permission.

8. Confidentiality

Both parties agree to keep confidential all non-public information shared during an engagement. nagacortexes will not reference, disclose, or use Client data or findings in external communications without the Client's prior written consent. This obligation survives the termination of the engagement.

9. User Responsibilities

Clients agree to provide accurate information requested during the engagement, make relevant stakeholders available for workshops and interviews within agreed timelines, and review and respond to draft deliverables within the timeframes specified in the project proposal. Delays caused by the Client's failure to provide information or access may affect project timelines and will not constitute a breach by nagacortexes.

10. Disclaimers

Services are provided on the basis of our professional judgment and the information available at the time of the engagement. nagacortexes does not warrant that any specific business outcome will result from following our recommendations. All advice should be reviewed in the context of the Client's own circumstances and, where appropriate, supplemented by legal, financial, or technical counsel.

11. Limitation of Liability

To the maximum extent permitted by Thai law, nagacortexes's liability arising from any engagement shall not exceed the total fees paid by the Client for that engagement. We are not liable for indirect, consequential, or special damages arising from the use of our services or website, including loss of data, business interruption, or loss of revenue.

12. Indemnification

You agree to indemnify and hold harmless nagacortexes, its directors, consultants, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website or services, or any inaccurate information you provide during an engagement.

13. Termination

Either party may terminate a consulting engagement by providing written notice. nagacortexes reserves the right to terminate an engagement immediately if a Client fails to make payment when due or acts in a manner that prevents the delivery of services. Upon termination, the Client will be invoiced for work completed to date.

14. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter informally within 30 days of the dispute being raised in writing. If informal resolution is not possible, disputes shall be referred to mediation under Thai law before any formal legal proceedings are initiated.

These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have exclusive jurisdiction over any legal proceedings.

15. General Provisions

These Terms constitute the entire agreement between you and nagacortexes with respect to the use of this website and, together with any engagement proposal, with respect to consulting services. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

Our failure to enforce any provision of these Terms on one occasion does not constitute a waiver of our right to enforce it in the future. You may not assign your rights or obligations under any engagement without our written consent.

16. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. For active engagements, material changes will be communicated directly. Continued use of our website after changes are posted constitutes acceptance of the revised Terms.
